End-user license agreement

Last updated October 15, 2026

This agreement is between Motivent Marketing Inc. (“Motivent,” “we,” or “us”) and the person or organization using Motivent OS, also called Client Brain.

By using the app, you agree to these terms. If you act for an organization, you must have authority to do so. If you do not agree, do not use the app.

Permission to use the app

We grant you a limited, nonexclusive, nontransferable permission to use Motivent OS for the business work we authorize. This permission lasts while your access remains approved and you follow this agreement.

The app is for Motivent’s operations and invited clients or collaborators. A public policy page or a QuickBooks authorization does not grant access to private client or team records. You may use only the accounts, records, and functions made available to you.

Your responsibilities

Protect your login and private links. Provide accurate information, keep confidential records private, and report suspected unauthorized access to us promptly.

You must have permission to provide the data you submit or connect. Follow the law and any terms that apply to the source service.

Do not bypass access controls, access another party’s records without permission, introduce harmful code, or disrupt the app. Do not resell the app or copy its software. Reverse engineering is prohibited except where applicable law permits it.

Software and data ownership

Motivent and its licensors retain their rights in the software. You receive permission to use it, not ownership of it. Data and content remain the property of their respective owners.

You allow us to process the records you provide or authorize only as needed to deliver the app’s functions, protect the service, and fulfill legal duties. Our privacy policy explains how we handle those records. This agreement does not grant us a right to sell your data.

QuickBooks and other connections

Only a person with the required authority may connect a third-party account. A connection remains subject to that provider’s terms and the permissions approved through its authorization process. Facebook and Instagram connections are described in their own section below.

The QuickBooks Online integration supports connecting a company, checking access, and reviewing selected billing records and proposed client and service mappings. Automated MRR imports and commission reporting remain under development. The integration leaves QuickBooks accounting records unchanged. The QuickBooks section of our privacy policy describes the current connection and planned data access.

You can revoke a connection through the provider’s controls or contact us for help. Revocation ends further access and processing under that consent. Deletion and any legally required retention are described in the retention section.

Motivent supplies and supports this app independently of Intuit. We do not process information on Intuit’s behalf. Intuit is not a party to this agreement or responsible for Motivent OS support. Intuit and QuickBooks are trademarks of Intuit Inc. Their use here identifies the connected service.

Facebook and Instagram connections

A client, or a Motivent team member acting for the client, may connect the client’s Meta ad accounts, Facebook Pages and Instagram accounts through Facebook Login so that Motivent OS can report on them. Only a person with authority over those assets may connect them. The connection stays subject to Meta’s terms and to the permissions approved in the Facebook Login dialog, and Motivent uses the data it receives from Meta only as the Facebook and Instagram section of our privacy policy describes.

The connection reads reporting data: advertising performance, Page and Instagram insights, and the published posts and ads those figures belong to. It does not publish content, send messages, change settings or spend money on your behalf. Reports built from this data carry the same limits as other reports under this agreement: they depend on what Meta returned and when, and Meta may restate recent figures.

You can end a connection at any time by disconnecting it in Motivent OS, by removing the app in Facebook or in your business portfolio’s settings, or by asking us. Our data deletion instructions explain each path and what is deleted afterwards.

Meta Platforms, Inc. is not a party to this agreement and is not responsible for Motivent OS. Facebook, Instagram and Meta are trademarks of Meta Platforms, Inc. Their use here identifies the connected services.

Reports and financial review

Reports depend on source records, mapping choices, and the time of the last update. They may contain errors or incomplete information. Authorized staff must review revenue and commission calculations before using them to approve a payout or make an accounting decision.

The app does not replace professional accounting, tax, or legal advice. This agreement does not change a client contract, employment agreement, commission plan, or any right to earned pay. Those documents and applicable law control those matters.

Availability and limits

We may update the app or pause features for maintenance, security, or changes in a connected service. We cannot promise uninterrupted access or error-free results.

To the extent the law permits, the app is provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, or noninfringement.

To the extent the law permits, Motivent is not liable for indirect or consequential losses caused by use of the app. This provision does not exclude liability that cannot lawfully be excluded or override a separate written agreement with Motivent.

Ending access

You may stop using the app and ask us to close your access. We may suspend or end access when your authorization ends, you misuse the app, or continued access creates a security or legal risk.

When access ends, your permission to use the app ends. Data handling follows our privacy policy and applicable law. Provisions about ownership, confidentiality, and limits of liability continue to apply where relevant.

Changes and other agreements

We will post updated terms here with a revised date. We will give notice of material changes before they take effect and seek agreement where required. If you do not accept revised terms, stop using the app and contact us about closing your access.

A separate signed agreement with Motivent controls if it conflicts with these terms on the same subject. Mandatory legal rights remain in place. If one provision is unenforceable, the remaining provisions still apply to the extent permitted by law.
